1. Acceptance of Terms

Velix provides AI consulting, AI software development, machine learning and generative AI solutions, automation, and the placement and augmentation of AI professionals. The specific scope, deliverables, and terms of any engagement will be defined in a separate written agreement or statement of work.

3. Client Responsibilities

To enable us to deliver services effectively, clients agree to:

  • Provide accurate, complete, and timely information and access as reasonably required.
  • Designate authorized points of contact for decisions and approvals.
  • Ensure they have the rights to any data or materials provided to us.
  • Comply with applicable laws and cooperate in good faith throughout the engagement.

4. Intellectual Property

All website content—including text, graphics, logos, and software—is owned by or licensed to Velix and protected by intellectual property laws. Ownership of deliverables produced during an engagement is governed by the applicable written agreement. Unless otherwise stated, Velix retains ownership of its pre-existing tools, methodologies, and know-how.

5. Confidentiality

Each party agrees to protect the other's confidential information and to use it only for the purposes of the engagement. This obligation survives the termination of any engagement. We are happy to enter into a mutual non-disclosure agreement upon request.

6. Payment Terms

Fees, invoicing schedules, and payment terms are set out in the applicable agreement or statement of work. Unless otherwise agreed, invoices are due within thirty (30) days of the invoice date. Late payments may be subject to reasonable interest. All fees are exclusive of applicable taxes.

7. Disclaimer

Our website and any general information provided are offered on an "as is" and "as available" basis without warranties of any kind, whether express or implied. While we strive for accuracy, we do not warrant that the website will be uninterrupted, error-free, or free of harmful components. AI systems are probabilistic by nature, and outcomes may vary.

8. Limitation of Liability

To the maximum extent permitted by law, Velix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of our website or services. Our total aggregate liability for any claim shall not exceed the amounts paid by you to Velix for the specific services giving rise to the claim.

You agree to indemnify and hold harmless Velix and its officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our website or services, or your violation of any law or third-party right.

These Terms are governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict-of-law principles.

The parties will first attempt to resolve any dispute informally through good-faith negotiation. If a dispute cannot be resolved, it shall be subject to the exclusive jurisdiction of the state and federal courts located in South Carolina, unless otherwise agreed in writing.

12. Termination

We may suspend or terminate access to our website at any time for conduct that violates these Terms. Termination of any service engagement is governed by the applicable written agreement. Provisions that by their nature should survive termination will remain in effect.
